TERMS AND CONDITIONS
These Terms and Conditions govern the manufacturing and supply of wooden products by Vipaas for its customers. By placing an order with Vipaas, the customer agrees to abide by these Terms. We encourage you to read them carefully and seek clarification if required before proceeding with an order.
1. ORDERS AND SPECIFICATIONS
Customer Orders:
All orders for wooden doors must be submitted in writing or through Vipaas’ official order form. Customers must clearly specify dimensions, styles, finishes, and any other customization details.
Order Acceptance:
Vipaas reserves the right to accept or reject any order at its sole discretion. An order is only deemed accepted once it has been confirmed in writing by Vipaas.
Modifications to Orders:
Any request for changes to an existing order must be submitted in writing. All changes are subject to approval by Vipaas, and may incur additional charges based on material or labor adjustments.
2. PRICING AND PAYMENT
Pricing:
Product pricing is provided through Vipaas’ official price list or via formal quotations shared with the customer. All prices are subject to change without prior notice. It is the customer’s responsibility to confirm prevailing prices at the time of placing an order.
Payment Terms:
All payments must adhere to the terms specified in Vipaas’ invoice. Unless stated otherwise, full payment must be received before manufacturing begins. Delayed payments may affect delivery timelines.
3. MANUFACTURING & LEAD TIMES
Estimated Timelines:
Estimated lead times for delivery will be communicated at the time of order confirmation. These are indicative and may vary due to raw material availability, customization, or unforeseen circumstances.
Quality Standards:
Vipaas is committed to delivering premium-quality wooden doors. However, natural variations in grain, texture, and color are inherent characteristics of wood and are accepted as part of the product’s uniqueness.
4. DELIVERY
Delivery Conditions:
Delivery will be carried out as per the terms listed in the invoice. Customers must ensure the accuracy of the delivery address and guarantee that someone is present to receive and inspect the order upon arrival.
Risk of Loss:
Responsibility for the goods transfers to the customer upon successful delivery. Vipaas is not liable for any damage, loss, or misplacement after this point.
5. WARRANTY AND RETURNS
Warranty Coverage:
Vipaas offers a limited warranty on all its products. Details of warranty coverage, duration, and claim procedures are available in our official warranty document. Customers are advised to review this policy thoroughly.
Inspection & Claims:
Customers must inspect all products immediately upon delivery. Any issues such as damages, manufacturing defects, or quantity mismatches should be reported in writing within the timeframe outlined in the warranty policy.
6. OWNERSHIP OF GOODS
Ownership of the goods is transferred to the customer only after full payment has been received. Until such payment is cleared, Vipaas retains legal ownership of the goods.
7. FORCE MAJEURE
Vipaas shall not be held liable for any delays or failure in fulfilling its obligations due to events beyond its control. This includes but is not limited to natural disasters, governmental actions, labor disruptions, pandemics, or supply chain interruptions.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Vipaas’ liability—whether for defective products, delays, or other damages—is limited to the amount paid by the customer for the affected goods. Vipaas is not liable for indirect, incidental, or consequential damages.
9. GOVERNING LAW & DISPUTE RESOLUTION
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be resolved through mutual negotiation. If unresolved, the matter shall be referred to arbitration or legal proceedings as per Indian jurisdiction.
10. ENTIRE AGREEMENT
These Terms constitute the complete agreement between the customer and Vipaas, superseding all prior communications—whether written or oral. Any exceptions or alterations to these Terms must be confirmed in writing by Vipaas.
By placing an order with Vipaas, the customer acknowledges and agrees to abide by these Terms and Conditions. It is the customer’s responsibility to stay informed of any updates and ensure full compliance with all terms outlined above.
